Terms and Conditions of Use (TCU) for the Namastek Network Websites

These terms describe the general conditions of use for the services and content made available to the user by

hereinafter referred to as Namastek, through the following websites collectively known as “the Namastek Network” or “the Websites” and Individually referred to as the “Website.”

The services and content of these Websites are made available to the user based on these general terms of use. These general terms of use apply to both consumers in accordance with Legislative Decree no. 206/2005 Consumer Code, and to entrepreneurs, professionals, and other economic entities, unless expressly stated that specific rules apply only to certain categories of subjects. Pursuant to current regulations (Article 3 of Legislative Decree no. 206/2005), it is reminded that a “consumer” is a natural person acting for purposes unrelated to any entrepreneurial, commercial, artisanal, or professional activity they may eventually carry out.

1 The Websites

This document refers to the digital resources made available on the Websites, including software, content, apps, and other digital products or services collectively referred to as “the Websites.”

2 Ownership of Website Materials

The Websites contain information, text, software, photos, videos, graphics, music, audio, editorial content, and other materials (“Materials”) protected by copyright, related rights, and the intellectual property rights of the creator, trademarks, patents, and other intellectual property rights (“Intellectual Property Rights”). Any right, title, and interest in relation to these Materials and Intellectual Property Rights belong solely and exclusively to Namastek Srls or its licensors and suppliers.

3 Use of Website Materials

3.1. Permitted Uses of Materials. Namastek authorizes users of the Websites to view and, if these functions are directly available on the Websites (with buttons or links to “print” / “download” functions), download (make a local copy on the user’s device), and print the Materials, exclusively for personal and educational non-commercial purposes.

3.2. Uses for Non-Commercial Educational Purposes. It is possible, occasionally and non-systematically, to include limited portions of Website Materials in notes, reports, and presentations, only to the extent permitted for educational and non-commercial purposes, not conflicting with the pedagogical or commercial value of such Materials.

3.3. Unauthorized Uses of Materials. Except as expressly permitted by Namastek, it is not allowed to use, modify, adapt, reformat, download, upload, reproduce, transmit, publish, display, perform, transfer, or redistribute the Materials in any form, format, or medium, or by any technology, without prior written authorization from Namastek and other owners of the intellectual property rights to such Materials. Reproduction, use, sale, transmission, publication, sending, or in any way disclosing or distributing Website Materials to anyone, including users belonging to the same company, school, institution, or organization, with or without cost or any other compensation, including use with or within “course packages” or courses, is not allowed.

Except as expressly permitted by Namastek in licenses to access specific services/content, it is not allowed to publish Website Materials within newsgroups, distribution lists, bulletin boards, educational sites, content aggregators, file storage services, or any other online destination.

The Websites may contain features that allow the user to obtain a document of the exercise performed; the features directly made available by the Websites may allow the creation of a pdf copy of the exercise performed, which the user, through the same functions of the Websites, can download and store on their device (digital copy), print, and keep on paper (print copy); the user can also send via email or share on the web a link to the exercise performed. Reproducing illustrations, graphics, photographs, diagrams, portions of text, chapters, or e-books included in the Materials is not allowed.

3.4. Request for Authorizations. If you wish to request authorization to reproduce Website Materials for purposes other than expressly authorized educational ones, or if you have questions about the correct method for including the notes indicated in section 3.2, you can send an email to info@namastek.it.

4 Availability of the Websites and Materials

Namastek may modify or interrupt any part, function, or content of the Websites at any time, with or without notice to the user; however, Namastek undertakes to notify users in the best possible way of significant changes to the Websites, if possible, and to provide alternative materials in the event of the removal of substantial parts of the Websites.

5 Links to Third-Party Sites and Content

Namastek assumes no responsibility for Materials published by third parties on the Websites or used on the Websites via hyperlinks or other computer “links” to sites hosted by third parties not directly controlled by Namastek (“third-party site”). Namastek does not endorse products, services, or information provided by these third parties, nor does it assume any direct or indirect responsibility for any damages or losses actually or presumably caused by or in connection with the use or reliance on content, goods, or services available through third parties or otherwise published by third parties on the Websites. Similarly, the inclusion of links to third-party sites on the Websites does not imply that the owners of such sites have given permission for this inclusion, nor does it imply that they sponsor or support Namastek’s Websites. Namastek is not responsible for the accessibility of third-party sites opened through links on the Websites. In the event that a link to a third-party site is invalid, no longer linked to the content indicated on the Websites, or otherwise linked to inappropriate content, the user can contact the technical support team.

6 User-Generated Content

Users may have the opportunity to post, upload, publish, submit, or transmit content created by the user, including without limitation text, photos, videos, music, or other materials (“User-Generated Content”). User-Generated Content remains the property of the user and is their sole responsibility. Users are responsible for their own User-Generated Content, both in terms of the content itself and compliance with relevant laws. By posting User-Generated Content, the user grants Namastek an irrevocable, worldwide, royalty-free license to reproduce, distribute, publicly display and perform, prepare derivative works from, and otherwise use the User-Generated Content in any way Namastek requires, directly or indirectly, for the purposes of the Websites and its services.

Namastek has the right to remove or delete any User-Generated Content that violates these terms of use, is inappropriate, or for any other reason, at its sole discretion. Namastek is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to User-Generated Content. Users must carefully consider the content they provide through the Websites and should not provide any content that they do not want to be used in this manner.

7 Restrictions on Website Use

Users agree not to use the Websites or Materials for any purpose that is unlawful or prohibited by these terms of use or to solicit the performance of any illegal activity or other activity that infringes the rights of Namastek or others. Users agree not to use the Websites or Materials in any manner that could damage, disable, overburden, or impair the Websites or interfere with any other party’s use and enjoyment of the Websites. Users may not obtain or attempt to obtain any Materials or information through any means not intentionally made available or provided for through the Websites.

8 User Responsibilities

Users are responsible for maintaining the confidentiality of their account and password, and for restricting access to their computer or device. Users agree to accept responsibility for all activities that occur under their account or password. Users may not assign or otherwise transfer their account to any other person or entity. Users acknowledge that Namastek is not responsible for third-party access to their account resulting from theft or misappropriation of their account. Users agree to immediately notify Namastek of any unauthorized use of their account or any other breach of security.

9 User Liability

Users agree to indemnify and hold Namastek, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney’s fees, made by any third party due to or arising out of their use of the Websites or Materials, their connection to the Websites, their violation of these terms of use, or their violation of any rights of another.

10 Notifications

Notifications regarding these terms of use may be made via email or regular mail. The Websites may also provide notifications of changes to these terms or other matters by displaying notices or links to notices generally on the Websites.

11 Miscellaneous Provisions

These terms of use represent the entire agreement between the user and Namastek regarding the use of the Websites and Materials. Failure by Namastek to exercise or enforce any right or provision of these terms of use shall not constitute a waiver of such right or provision. If any provision of these terms of use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these terms of use remain in full force and effect. The user agrees that, regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Websites or these terms of use must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in these terms of use are for convenience only and have no legal or contractual effect.

12 Applicable Law and Competent Court

These terms of use are governed by Italian law. The court of Milan shall have exclusive jurisdiction for any dispute arising out of or in connection with these terms of use, except for cases for which the law provides for the exclusive jurisdiction of the court of the consumer’s place of residence or domicile.
